These Terms of Service ("Terms") are a binding agreement between you and Prana Force, Inc., a Delaware corporation ("Prana," "we," "us"), governing your use of the Prana mobile app, the prana.health website, the Prana MCP connector, and related services (together, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Please read Section 3 (Prana is not medical advice) and Section 17 (Arbitration and class action waiver). Section 17 affects how disputes between us are resolved, and includes a 30-day opt-out.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.
2. The Service
Prana is a health analytics and coaching platform. Depending on your plan and location, the Service may include: health and fitness tracking; analytics over data you log, sync, or upload; AI-powered coaching, insights, and reports; the ability to purchase blood testing arranged through independent providers; body-composition (DEXA) scan bookings where offered; and the MCP connector for exporting your data to third-party AI applications.
We may add, change, or discontinue features. If we discontinue the Service or a material paid feature, we will provide reasonable notice and a pro-rata refund of any prepaid, unused amounts where required.
3. Prana is not medical advice
READ THIS SECTION CAREFULLY.
- General wellness only. The Service — including all analytics, scores, trends, insights, reports, coaching content, and AI chat output — is provided for general wellness, fitness, and informational purposes. It is not medical advice, diagnosis, or treatment, and it is not a substitute for the judgment of a licensed healthcare professional.
- No practitioner-patient relationship. Prana is not a healthcare provider, laboratory, or pharmacy, and your use of the Service does not create a practitioner-patient relationship with Prana. Where blood testing is arranged through the Service, independent licensed practitioners authorize orders and independent CLIA-certified laboratories perform testing (Section 7); any practitioner-patient relationship exists between you and those independent providers, not with Prana.
- Always consult a professional. Never disregard, delay seeking, or discontinue medical advice or treatment because of anything in the Service. Decisions about medications, supplements, diet, training, or treatment should be made with a licensed healthcare professional who knows your history. Medication tracking features are logging tools only — they are not dosing advice.
- Lab results require professional interpretation. Biomarker values and out-of-range flags are informational. Confirm results and their meaning with your healthcare provider.
- Emergencies. The Service is not for emergencies. If you think you have a medical emergency, call 911 (or your local emergency number) immediately.
- No regulatory clearance. The Service is not a medical device and has not been evaluated or cleared by the FDA or any comparable authority.
4. AI features
Parts of the Service are generated by artificial intelligence (Anthropic Claude models running on AWS infrastructure). You acknowledge that:
- AI output is generated automatically and may be inaccurate, incomplete, or misleading, including in ways that are difficult to detect. It may not reflect current medical knowledge.
- AI output is not medical advice (Section 3) and is not reviewed by a healthcare professional before delivery to you unless expressly stated.
- You are responsible for how you use AI output. Verify important information — especially anything affecting your health — with qualified professionals.
- Your data is not used to train the underlying AI models, as described in our Privacy Policy.
5. Accounts
You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current — parts of the Service (including lab ordering and analytics) depend on it. Notify us at aditya@prana.health of any unauthorized use. We may suspend or terminate accounts that violate these Terms (Section 14).
6. Subscriptions, purchases, and billing
6.1 How billing works
- United States: paid plans and purchases are billed by Stripe on our website.
- Outside the United States: paid subscriptions are billed through your Apple App Store or Google Play account and are governed by the store's billing terms in addition to these Terms.
Prices, tiers, and included features are shown at purchase. Taxes may apply.
6.2 Automatic renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) and your payment method is charged the then-current price at each renewal, until you cancel.
6.3 Cancellation
You can cancel at any time:
- Stripe (US): in the app or dashboard under Manage Membership / the billing portal, with effect at the end of the current billing period. Cancellation is available online through the same mechanism you used to subscribe.
- App Store / Google Play: in your store subscription settings. Deleting the app does not cancel a store subscription.
After cancellation, you keep access through the end of the paid period. Except where law requires otherwise, fees already paid are non-refundable and we do not give partial-period refunds. Purchases made through Apple or Google are subject to the store's refund policies and must be requested from the store.
6.4 Lab and scan credits
Some plans or purchases include credits redeemable for lab testing or scans. Credits are prepayments for those services: they are refundable until the underlying order is placed with our fulfillment partners (for lab testing, until a practitioner order is submitted or your specimen is collected, whichever is first), and non-refundable afterward except where the service cannot be delivered. Credits are not transferable and have no cash value except as required by law.
6.5 Price changes and trials
We may change prices with at least 30 days' advance notice; changes apply from your next renewal, and you can cancel before they take effect. If a free trial or promotional price is offered, its terms (duration, then-current renewal price, and how to cancel before being charged) will be disclosed at signup, and the subscription converts to a paid subscription automatically unless cancelled before the trial ends.
7. Lab testing and body-composition services
- Independent providers. Blood testing purchased through Prana is arranged through our lab-ordering platform partner (currently Rupa Health). Orders are authorized by independent licensed healthcare practitioners; specimen collection and analysis are performed by independent CLIA-certified laboratories and phlebotomy providers. Prana is not a laboratory or healthcare provider and does not itself perform testing. Body-composition scans, where offered, are performed by independent scan providers.
- Availability. Testing services are currently unavailable in some US states (at present: New York, New Jersey, and Rhode Island) and outside the United States, and availability may change. Where testing is unavailable, plans that include testing are not offered or are offered at adjusted pricing.
- Your responsibilities. Provide accurate personal and health information (orders and reference ranges depend on it), follow preparation instructions (such as fasting), and attend scheduled appointments. Missed appointments or inaccurate information may result in delays or forfeited fees where our partners charge us.
- Results. Results are delivered in the Service when we receive them from the laboratory. Turnaround times are estimates. Practitioners or laboratories may contact you directly regarding critical values. Prana displays and analyzes results but does not alter laboratory values.
- Not for employment/legal use. Testing arranged through Prana is for personal wellness purposes and may not be used for employment, insurance, or legal proceedings.
8. Your content
- You own your content. You retain all rights to the content you submit to the Service — chat messages, photos, uploaded records, logs, and other materials ("User Content").
- License to us. You grant Prana a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, adapt, and display your User Content for the purposes of operating, providing, securing, and improving the Service, consistent with our Privacy Policy. This license ends when your content is deleted, except for de-identified or aggregated data and copies retained as described in the Privacy Policy or required by law.
- Your responsibility. You represent that you have the rights to submit your User Content and that it does not infringe anyone's rights or violate law. Do not upload another person's health records without their authorization.
- Contributions to the shared food database. When logging a food you may optionally switch on "Submit to Public Database." Doing so submits that food's name, nutrition information, serving details, barcode, and any attached photo for our review, and — if approved — for inclusion in a shared library visible to other Prana users. This is off unless you turn it on. By submitting, you represent that the information is accurate to the best of your knowledge and that you own or have the right to share any photo you attach, and you grant Prana and its users a perpetual, worldwide, royalty-free licence to use, display, and distribute that food information and photo as part of the shared library. Do not submit photos containing people, faces, documents, or other personal content. Your name and email are never displayed alongside a published entry. Because other users' records may come to depend on a published entry, approved contributions can remain in the library after you delete your account, with your link to them removed; to request removal of a specific contribution, email aditya@prana.health. We may edit, decline, or remove any submission.
- Feedback. If you send us ideas or suggestions, we may use them without restriction or compensation.
9. Copyright complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice under 17 U.S.C. §512(c)(3) to our designated agent:

Your notice must identify the work, the infringing material and its location, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We will remove or disable access to material identified in valid notices, may terminate repeat infringers' accounts, and will handle counter-notices as provided in §512(g).
10. Acceptable use
You agree not to: use the Service for anyone under 18 or on behalf of another person without authorization; probe, scan, or breach the Service's security or access data belonging to other users; reverse engineer, scrape, or bulk-extract the Service or its data except through interfaces we provide (such as your own MCP keys); resell or commercially exploit the Service without our written agreement; upload malware or unlawful content; misrepresent your identity or health information in connection with lab ordering; use the Service to develop a competing dataset or to train machine-learning models on Service output at scale; or interfere with other users' use of the Service.
11. Third-party services and the MCP connector
The Service interoperates with third-party services — Apple Health, Health Connect, Google Sign-In, app-store billing, our lab and scan partners, and third-party AI clients you connect via the MCP connector. Third-party services are governed by their own terms and privacy policies, and Prana is not responsible for them.
The MCP connector lets you create API keys that give applications you choose read and write access to your Prana data. You are responsible for the clients you connect and for safeguarding your keys; anyone holding a key can access the data it permits. Revoke keys you no longer use in Settings. Prana is not responsible for the acts, omissions, or data practices of third-party clients you authorize.
12. Privacy
Our Privacy Policy describes how we handle your information, including health data, AI processing, and research retention. Washington and Nevada residents: see also the Consumer Health Data Privacy Policy.
13. Intellectual property
The Service — including software, models, analytics, design, text, and graphics, but excluding your User Content — is owned by Prana or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app and Service for your personal, non-commercial use in accordance with these Terms. "Prana" and our logos are our trademarks; do not use them without permission.
14. Term and termination
These Terms apply while you use the Service. You may stop using the Service and delete your account at any time in Settings, or by emailing aditya@prana.health; deletion removes your account record and personal data as described in Section 7 of the Privacy Policy and is permanent. Deleting your account does not by itself cancel a subscription billed through the Apple App Store or Google Play — cancel that in your store settings (Section 6.3). We may suspend or terminate your access if you materially breach these Terms, if required by law, or if providing the Service to you creates risk to Prana or others; where practicable we will give notice and, for paid plans terminated by us without cause, a pro-rata refund of prepaid unused fees. Sections that by their nature should survive (including 3, 4, 8–9, 13, 15–19) survive termination.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRANA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING SECTION 3, PRANA DOES NOT WARRANT THAT ANALYTICS, AI OUTPUT, OR ANY INFORMATION IN THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT; THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; OR THAT DATA SYNCED FROM THIRD-PARTY PLATFORMS IS ACCURATE. INDEPENDENT PRACTITIONERS, LABORATORIES, AND SCAN PROVIDERS ARE SOLELY RESPONSIBLE FOR THE SERVICES THEY PROVIDE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
16. Limitation of liability; indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) PRANA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (B) PRANA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID PRANA IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (ii) US $100. THESE LIMITS APPLY REGARDLESS OF LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY WHERE PROHIBITED, AND NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITS ARE NOT PERMITTED).
You will indemnify and hold Prana harmless from third-party claims, and associated costs (including reasonable attorneys' fees), arising from your User Content, your violation of these Terms or of law, or your misuse of the Service, except to the extent caused by Prana.
17. Dispute resolution: arbitration and class action waiver
This section affects your legal rights. If you reside in the United States, please read it — and note the opt-out in 17.7.
17.1 Informal resolution first
Before filing any claim, you and Prana each agree to try to resolve the dispute informally: send a written notice describing the dispute to aditya@prana.health (or we will notify you at your account email), and both parties will attempt in good faith to resolve it within 60 days. This is a precondition to starting arbitration or litigation, and applicable statutes of limitation are tolled during this period.
17.2 Binding arbitration
If not resolved informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitrator (not a court) resolves all disputes, including the scope and enforceability of this arbitration agreement. Hearings will be held by videoconference, or in the county where you live if you prefer an in-person hearing. AAA fees will be allocated under the Consumer Rules; if your claim is for less than $10,000 and you did not bring it frivolously, Prana will cover arbitration filing and administration fees beyond the amount you would pay to file in small-claims court.
17.3 Exceptions
Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or equitable relief in court for infringement or misuse of intellectual property or for unauthorized access to the Service. In California, claims for public injunctive relief may be decided in court to the extent required by law.
17.4 Class action and jury waiver
All claims must be brought in an individual capacity — not as a plaintiff or class member in any class, consolidated, or representative proceeding — and the arbitrator may not consolidate claims or preside over any form of class proceeding. You and Prana each waive the right to a jury trial. If this class waiver is found unenforceable as to a particular claim, that claim (and only that claim) proceeds in court, and the rest remain in arbitration.
17.5 Mass filings
If 25 or more demands for arbitration raising similar claims are filed against Prana by the same or coordinated counsel, the parties agree the demands will be resolved in staged batches: the AAA will administer batches of up to 50 demands at a time (each batch treated as one consolidated arbitration with one set of fees, before one arbitrator), beginning with a first batch selected half by claimants' counsel and half by Prana. Results of early batches will inform good-faith global settlement discussions before subsequent batches proceed. Statutes of limitation are tolled while a demand awaits its batch. This subsection does not deprive any claimant of the right to an eventual individual determination.
17.6 Severability
If any part of this Section 17 (other than the class waiver in 17.4) is found unenforceable, the remainder still applies.
17.7 Your right to opt out
You may opt out of this arbitration agreement entirely — with no effect on your service or price — by emailing aditya@prana.health with the subject "Arbitration Opt-Out," from your account email, within 30 days of first accepting these Terms. Include your name and the email on your account. If you opt out, disputes will be resolved in court under Section 18.
17.8 Outside the United States
If the law of your country of residence does not permit mandatory pre-dispute arbitration of consumer claims, Section 17 does not apply to you, and Section 18 governs.
18. Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules — except that Section 17 is governed by the Federal Arbitration Act, and if you are a consumer in a jurisdiction whose law grants you mandatory protections or a mandatory forum (including the EEA and UK), those protections and forums are unaffected. For disputes not subject to arbitration, you and Prana submit to the exclusive jurisdiction of the state and federal courts in Delaware, unless mandatory law gives you the right to sue in your home courts.
19. App store terms
If you downloaded the app from the Apple App Store or Google Play: these Terms are between you and Prana only — not with Apple or Google, and they are not responsible for the app or its content. Your license to the app is limited to a non-transferable license to use it on devices you own or control, subject to the store's usage rules. Apple and Google have no obligation to provide maintenance or support, and no warranty obligations beyond any refund of the purchase price where applicable. Prana, not the store, is responsible for addressing claims relating to the app (including product liability, regulatory, and IP claims). You represent that you are not located in a country subject to a US government embargo and are not on any US government prohibited-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them as to your use of the iOS app.
20. General
We may update these Terms; for material changes we will give notice (in-app or by email) at least 30 days before they take effect, and your continued use after the effective date constitutes acceptance — if you do not agree, stop using the Service and, for paid plans, you may cancel for a pro-rata refund of prepaid unused fees. No informal waiver is a waiver; if any provision is unenforceable, the rest remain in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the Privacy Policy, and the Consumer Health Data Privacy Policy are the entire agreement between you and Prana regarding the Service. Notices to you may be given in-app or to your account email; notices to us go to aditya@prana.health or the address below.
